Understanding the Transaction Data

In an effort to provide our users with clearer and more accessible insider data, Yahoo! uses natural language to detail transaction activity rather than less descriptive SEC alpha-numeric filing and transaction codes (this occurs in the "transaction" column of the insider pages).

Where possible, an effort is made to combine related events (i.e., involving the same lot of shares) into a single line-item record. For example, rather than display a Planned Sale, Exercise of Options, and Subsequent Sale individually, we present a consolidated event, "Exercised Options and Sold" (Planned Sale being omitted in the event that the filing was acted upon).

Additionally, many of the transaction entries include the actual or estimated dollar value of the transaction (based on the closing price of the security for that record date). Estimates are used for Planned Sales (Form 144) and actuals are included for transactions that were consummated.

What follows is a list of SEC transaction letter codes and the corresponding descriptions used on our site (language used for both acquisition and disposal of shares is indicated where applicable).
