Overview

Yahoo! Insider Trades tracks trading activity and planned sales by insiders for publicly traded U.S. companies, and planned sales by insiders and shareholders for restricted stock. Provided by EDGAR Online and Vickers Stock Research, the information is updated on a daily basis, and includes two year's worth of history. Trades are not adjusted for stock splits. Data from the following Securities & Exchange Commission (SEC) forms are available:

• Form 3: Initial Statement of Ownership
• Form 4: Statement of Changes in Beneficial Ownership
• Form 144: Intention to Sell Restricted Securities

Getting Around

The Yahoo! Finance Insider Trades feature offers two primary modes for displaying insider activity—by company and by individual.

To obtain insider information on a company, simply request a quote for the company in question and click the "Insider" link in the "More Info" column of the quote display. The resulting page provides a comprehensive overview of insider and Form 144 filings by shareholders during the past 24 months.

You can also browse a list of insiders and restricted shareholders of a particular company by clicking the "Insider Roster" link. By clicking a filer name from either the company roster page or the company insider transaction page you can view that filer's detailed transactions for the past 24 months. Please note that the records on the pages for individual insiders might include holdings and transactions for any company where that filer is considered to have insider status.

Additionally, we offer a major holders section that displays the top five insiders based upon the most recent direct and indirect holdings reported on a Form 4 or a Form 3 over the past 24 months. This can be reached by clicking the "Major Holders" under the "More Info" section.
